About the role:
This role will oversee the contract lifecycle from drafting and negotiation to ensuring compliance with legal and business standards. The Contracts Manager will collaborate with internal stakeholders, particularly the sales and customer success teams, to facilitate seamless contract negotiations and maintain relationships with clients and vendors.
A day in the life:
- Manage and oversee the entire lifecycle of contracts at AlayaCare, including drafting, reviewing, negotiating, and executing agreements, client contracts, and vendor agreements.
- Provide legal expertise and guidance on contract-related matters to internal teams, including sales, customer success, product, and procurement and others, ensuring alignment with AlayaCare's business objectives.
- Ensure all contracts are compliant with company policies, industry regulations, and legal requirements, particularly regarding privacy laws, data protection, and intellectual property rights.
- Collaborate with the sales team and finance to negotiate agreements, master service agreements (MSAs), non-disclosure agreements (NDAs), and other key legal documents.
- Implement and maintain a contracts managements system to efficiently track and manage contract approvals, renewals and obligations in collaboration with the security and finance teams.
- Act as the primary point of contact for contract inquiries, ensuring that all contractual issues are addressed and all contract disputes are resolved in a timely manner to support AlayaCare’s growth.
- Assist in developing and updating standard form contracts and legal templates that align with AlayaCare’s evolving business needs.
What you bring to the team:
- Bachelor’s Degree (B.Sc., B.Comm, LL.B, etc.) required.
- Minimum 3-5 years of experience in contract management, particularly within the SaaS industry or technology sector.
- In-depth understanding of federal and state contract laws and regulations, SaaS agreements, intellectual property, data protection, and privacy regulations, especially relevant to AlayaCare's business model.
- Experienced in SaaS, understanding of the complexities of software agreements, and has a proactive approach to managing legal risks while driving business success.
- Proven ability to negotiate and draft complex contracts, including MSAs, software licenses, service agreements, and partnership contracts.
- Strong organizational skills, attention to detail, and the ability to manage multiple priorities in a fast-paced, dynamic environment like AlayaCare.
- Excellent written and verbal communication skills, with the ability to explain legal concepts to non-legal stakeholders.
- Experience with contract management software is an asset.
Location and travel requirements:
AlayaCare supports a flexible hybrid working model, expecting that our employees have a regular in-office presence at their closest office location while offering flexibility for some remote work. Our team encourages in-person collaboration and with this, the preferred candidate location for this position would be within the Greater Montreal Area.
