  • This position will report directly to the Company’s Deputy General Counsel.
  • Drafting, negotiating, executing and managing a broad range of complex commercial agreements involving corporate, property and online matters. This includes but is not limited to PENN’s retail casino properties and our online sports betting and iGaming products under the ESPN BET, theScore Bet and Hollywood Casino brands. 
  • Assists with mergers, acquisitions, development projects and other strategic transactions.
  • Assists in public company compliance with federal securities laws and related matters, including but not limited to the preparation of periodic reports, proxy statements and other required filings. 
  • Assists with real estate matters, including managing the Company’s master leases.
  • Provides practical legal advice and counsel in a timely fashion to internal clients.
  • Assists in evaluating new and managing existing outside counsel. Serves as a liaison between Company and outside counsel, as needed.
  • Prepares, monitors and adheres to budgets and ensures compliance with departmental budget initiatives. Reports budget concerns/deviations in a timely manner and assist with mitigation efforts, as applicable.
  • Assists with preparation of board and committee materials, as required.
  • Enthusiastically supports, actively promotes, and demonstrates superior customer service in accordance with department and company standards and programs.  
  • Ensures compliance with all regulatory requirements within areas of responsibility and reports potential issues in a timely manner. 
  • Other related duties as assigned.

What you bring to the table:

  • Law Degree from accredited college or university required. 
  • At least 5 years of significant corporate transactional experience gained in large/major law firm(s) and/or in-house settings.  Public company or corporate law department experience is a plus, but not a requirement.  
  • Must have experience in commercial transactions, particularly with respect to mergers and acquisitions, joint ventures, partnerships, and real estate development, including negotiating, documenting, executing and managing complex and varied transactions, a broad range of commercial agreements, and financings. 
  • Ability to read, analyze and interpret, financial reports and legal documents. 
  • Ability to recognize the business consequences of legal advice and administer pragmatic services to internal clients, accordingly.
  • Ability to work independently, identify problems, collect and analyze information, establish facts, and draw conclusions in a fast-paced and dynamic environment. 
  • Ability to write memorandums on complex legal issues and draft practical business correspondence.
  • Must have excellent verbal and written communication skills, and the ability to interact with colleagues and resolve problems and conflicts in a diplomatic and tactful manner.
  • Must have the ability to present information and respond to questions from executive management, public groups, regulators, and/or board members.
