Oura Legal is looking for a dedicated Commercial Counsel to join the growing team. In this role you will work in our Legal Commercial team, counseling and advising business teams, guiding contracts through the review, negotiation, and approval process, and supporting our privacy function. In addition to the qualifications below, you should be a strong communicator, passionate about commercial contracts, and have the ability to work successfully across the organization. This role reports to Oura's Associate General Counsel and Vice President of Legal, Commercial Transactions and Litigation.

What you will do:

  • Draft, review, and negotiate a variety of commercial contracts including MSAs, SOWs, SaaS, marketing, partnership and professional services, and research agreements, NDAs, and data use and licensing agreements.
  • Use your working knowledge of privacy law and regulatory frameworks to advise the business about laws including but not limited to the GDPR, CCPA, HIPAA, and to draft, review, and negotiate compliant data protection agreements, data sharing agreements, business associate agreements, and more. 
  • Counsel on risk and ensure business goals are accurately reflected in agreements.
  • Contribute to the design and continuous improvement of standard forms, training materials, legal processes, and systems to help scale the business and maximize efficiency and velocity.
  • Support the Company in solving complex legal issues and advise on general legal matters, as necessary.

Requirements

We would love to have you on our team if you have: 

  • At least 6+ years of experience at a large law firm, or in-house legal department with a dedicated focus on drafting and negotiating complex commercial agreements.
  • An advanced understanding of commercial transactions, privacy concepts and superior negotiation skills. 
  • Experience advising clients in healthcare or healthcare-adjacent spaces.
  • A business-focused advisor, with experience counseling tech clients. 
  • Active membership and good standing with the California Bar.
  • A team player with a good sense of humor and collaborative working style.

Preferred Qualifications and Experience

  • Previous in-house experience at a growing technology company.
  • International practice experience in the healthcare or wearable device field.
  • Familiarity with Ironclad, DocuSign, and other contract management tools.

Oura takes a market-based approach to pay, which may vary depending on your location. US locations are categorized into tiers based on a cost of labor index for that geographic area. While most offers will be closer to the starting range, successful candidates’ pay will be determined based on job-related skills, experience, qualifications, work location, internal peer equity, and market conditions. These ranges may be modified in the future.

  • Region 1: $140,000 -$160,000
  • Region 2: $132,000 -$152,000
  • Region 3: $125,000 - $145,000
